Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the LexCapital website and investment lifecycle management platform (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Eligibility & Accounts
The Services are intended for business and professional use. You must provide accurate information when requesting access and are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. Use of the Services
You agree not to:
- Use the Services in violation of any applicable law or regulation;
- Upload content you do not have the right to share;
- Attempt to gain unauthorised access to the Services, other accounts, or our systems;
- Interfere with or disrupt the integrity or performance of the Services;
- Reverse engineer or attempt to extract source code except as permitted by law.
3. Customer Content
You retain all rights to the data, documents, and materials you submit to the Services (“Customer Content”). You grant LexCapital a limited licence to host, process, and transmit Customer Content solely to provide and improve the Services. You are responsible for the accuracy and legality of Customer Content.
4. Not Legal, Financial, or Investment Advice
The Services are workflow and document-management tools. LexCapital does not provide legal, financial, tax, or investment advice, and nothing in the Services constitutes such advice. You should consult qualified professionals before making decisions based on information managed through the Services.
5. Intellectual Property
The Services, including all software, design, text, and trademarks (excluding Customer Content), are owned by LexCapital or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights other than the limited right to use the Services as described.
6. Third-Party Services
The Services may integrate with third-party services. Your use of those services is governed by their own terms, and LexCapital is not responsible for third-party services.
7. Confidentiality
Each party agrees to protect the other’s confidential information and to use it only as necessary to perform under these Terms, using at least a reasonable standard of care.
8. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, LexCapital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or related to your use of the Services.
10. Termination
We may suspend or terminate access to the Services if you breach these Terms or if we reasonably believe termination is necessary to protect the Services or other users. Upon termination, your right to use the Services ceases immediately.
11. Changes to the Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which LexCapital is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any disputes arising from these Terms.
